4.2 Certification Validity

4.3 Revocation of Certification

We reserve the right to revoke or suspend certification if a client is found to be non-compliant, has provided false information, or has failed to implement required corrective actions.

5. Fees and Payment

Fees for our services will be agreed upon in writing before commencement of services. Payment terms include:

• Fees are due as specified in your service agreement
• Late payments may incur additional charges
• Certain fees are non-refundable as specified in service agreements
• We reserve the right to suspend services for non-payment

6. Intellectual Property

All content, materials, and intellectual property provided by DPLMC International, including but not limited to:

All such materials remain the exclusive property of DPLMC International and are protected by copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

Both parties agree to maintain confidentiality of sensitive information disclosed during the certification process. We will:

• Protect client information from unauthorized disclosure
• Use client information only for providing agreed-upon services
• Implement appropriate security measures to safeguard confidential information
• Not disclose audit findings or client information to third parties without consent, except as required by law

8. Disclaimers and Limitations of Liability

8.1 No Warranty

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that certification will prevent all security breaches or regulatory violations.

8.2 Limitation of Liability

To the fullest extent permitted by law, DPLMC International shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from security breaches or regulatory penalties
• Any damages exceeding the fees paid for our services in the preceding 12 months

9. Indemnification

You agree to indemnify, defend, and hold harmless DPLMC International, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate services under the following conditions:

• By mutual written agreement
• For material breach of these Terms or service agreements
• Upon 30 days' written notice (for ongoing services)
• Immediately for non-payment or fraudulent activity

Upon termination, you must cease using our materials and return or destroy any confidential information provided during the engagement.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
